Expertise:

Clive has for over 30 years specialised in advising businesses in relation to their corporate structures, reorganisations and mergers and acquisitions. He has close connections with many national and locally based firms of accountants, IFA's and other professionals who value his experience in these fields.

The economic pressures in the Autumn of 2008 has led to an increased amount of restructuring and insolvency related work – current projects include the reorganisation of a care home group pursuant to Section 110 Insolvency Act 1986, advising a major shareholder in connection with the administration of a restaurant chain and advising a telephony company both in raising funds from its own shareholders and consequential restructure in the light of current economic conditions.

Clive is also advising various directors regarding their responsibilities and possible opportunities in relation to companies facing difficult economic conditions.

During 2007 and the first part of 2008, Clive was particularly busy in relation to mergers and acquisitions. Highlights include:-

  • advising Marcus Hearn Group Plc on the disposal of Marcus Hearn & Co Limited, a London based provider of specialist insurance products to aim listed CBG Group Plc.
  • advising The Choice Group in the creation of Choice Pharma, a merger between Choice Medical Communications and European Medical Advisory Services
  • advising the shareholders of Armstrong Consultants Limited in their disposal to Access Group
  • other assignments included acting for a national trade association in the acquisition of the renewal portfolio of an insurance company and acting for the UK subsidiary of a Scandinavian quoted company in the disposal of two non-core subsidiaries.

Clive has worked closely with clients in 2008 in the creation of Enterprise Management Incentive and other share schemes and, also in the autumn of 2008, advising the firm's clients, in a joint initiative with the firm's employment department, regarding the introduction of the new style points based immigration system and the implications for their businesses.

In 2007 Clive contributed to the chapter on Buying and Selling a Company in "F L Memo Company Law 2007".

In 2008 Clive, in his capacity as Risk Management Partner, was instrumental in ensuring the re-award to the firm of its Lexcel accreditation as a result of which Taylor Walton was congratulated by Paul Marsh, President of the Law Society, on the firm's commitment to delivering a high quality service, as evidenced by its continuing Lexcel accreditation.
