And we can help you at all stages of the transaction process, from the heads of agreement and the due diligence exercise, through the negotiation of the sale and purchase agreement itself, and on to final completion of the deal.
Increasingly these days we are finding that sellers are willing (or are required by the management team’s financiers!) to assist with the future funding of the target business by receiving a proportion of their sale proceeds in loan notes or redeemable shares. We are able to advise on the preparation of shareholders’ and investment agreements, loan notes, and the constitution of the MBO/MBI vehicle. In doing so, we aim to de-mystify the jargon and buzzwords in which the corporate finance industry revels, and to keep matters as simple and comprehensible as possible.
We often work in cross departmental teams combining our corporate lawyers with those from our Banking & Security Team, or from our Commercial Property or Employment Departments.
